Question regarding magazine covers and layouts

Could you please help with a copyright question?

I am the Director of Development for a Christian ministry (Watchman Fellowship, Inc.) and the Editor of a new bimonthly magazine called "Watchman Fellowship's Vantage Point."

Our first issue was published in March and after that we had a falling out with the marketing company that was producing it for us.

We are trying to produce the June issue and they are refusing to release the original designs and layouts, even though we paid for them contracturally. They are claiming that the design is their copyright. The magazine in no way bears their company name or logo, only ours.

Who has the rights to the magazine? Also, they have not officially copyrighted the magazine by application - should we do that as soon as possible?
