There is a very sizeable literature on how the UCC "private legislature" drafting process is subject to special interest capture -- perhaps to an even greater extent than the public legislature, if such a thing can be imagined -- together with many bitter complaints about the results of previous article revisions.
But no one seems to have paid much attention to it, so Santayana is right again.
